MUTUAL CONFIDENTIALITY AGREEMENT This Agreement is made on dateOfSender BETWEEN [ Company Name ] Limited , whose registered office is at [ Registered address ] (“ Party 1 ”); and [ Full name ] of address [ Individual's address ] (“ Party 2 ”) (Party 1 and Party 2 are together referred to as the “ Parties ” or singularly as a “ Party ”) BACKGROUND (A) The Parties intend to exchange certain information for the Purpose. (B) Such exchange of information may include the disclosure by one Party to the other Party of certain Confidential Information. (C) Each Party wishes to ensure that the other Party maintains the confidentiality of its Confidential Information. As such, the Parties have agreed to comply with the following terms in connection with the use and disclosure of Confidential Information. IT IS AGREED AS FOLLOWS: 1. DEFINITIONS “ Confidential Information ” means any information disclosed by one party to the other in connection with the Purpose, which is of a confidential nature, irrespective of whether it is marked as such. “ Disclosing Party ” means the party to this Agreement disclosing the Confidential Information. “ Intellectual Property Rights ” means any and all (i) patents, copyright, database rights and rights in trade marks, designs and Confidential Information (whether registered or unregistered); (ii) applications for registration, and the right to apply for registration, for any of these rights; and (iii) all other intellectual property rights and equivalent or similar forms of protection, registered or unregistered including all extensions, renewals and applications thereof, existing anywhere in the world. “ Purpose ” means for the purpose of evaluating a mutually beneficial commercial opportunity . “ Recipient ” means the party to this Agreement to whom Confidential Information is disclosed. 2.
