This is a document which facilitates the transfer of intellectual property rights (intangible assets such as copyright, trade marks, design rights, rights in software, patents) from one party (the transferor) to another party (the transferee) in return for some form of payment.
The document is drafted in favour of the party assigning / transferring the intellectual property rights.
A business would use this document where it wanted to transfer / sell / assign its intellectual property rights to another party. This is not suitable for use by the party purchasing the intellectual property rights.
